Governance and Compliance Deputy Manager
Roles and Responsibilities:
Preparation and execution of business plans and budgets
- Support the Manager in developing business plan and its development process in order to achieve management indicators and financial targets from views of Governance and Compliance.
- Prepare necessary reports and provide recommendations to the management team on how to organize effective governance process and minimize risks/costs to the business.
Management of corporate governance and compliance
- Manage and administrate BoD meeting and General meeting in line with Japan Company Act.
- Create meeting minutes and maintain in appropriate manner.
- Handle the corporate registration with timely manner.
- Build good relationships with Board of Directors.
- Responsible for leading the company-wide management of risk and compliance, corporate governance, legal and intellectual property.
- Work closely with contracted external firms and evaluate their performance efficiency.
- Conduct effective IP management in cooperation with Engineering Division.
- Monitor competitors avitivities to ensure no imprison of AS IP rights and values.
- Review all business contract and advise necessary revision.
- Support internal parties in necessary cases with negotiation to business counter parties.
- Provide coaching and guidance to heads of internal parties regarding each business activities to ensure their alignment with company governance/compliance policy as well as controlling their risk management.
- Manage, monitor and administrate company approval process in line with corporate Governance and Compliance policy.
- Plan and create required company policy that should be implemented.
- Define the area that should be provided Governance and Compliance training and plan its programs as well as conducting training activities.
General Affairs/Administration Management
- Support General Affairs/Administration activities as necessary.
- Work closely with functional managers in Business Planning & Governance Division as well as ASHD stakeholders.
- Take roles of any other duties that may be assigned from time to time by the reporting manager
Requirements: skill and experience
- Minimum 5 years’ experience of working in corporate function
- Very familiar with Japan Company Act and practice of corporate governance
- Well Logical thinking, keen eyes for business analysis and business acumen
- Practical knowledge of corporate finance and PL/BS accounting
- Documentation literacy
- Proficiency English reading and writing
- Project management
- Good communication skill
- Proactive mind set
